Welcome to Spirit Collective
These Terms of Service (“Terms”) govern your use of Spirit Collective’s platform, including our website, mobile applications, and all related services (collectively, the “Platform”). Spirit Collective is operated by Internect LLC, a North Carolina limited liability company (“Spirit Collective,” “we,” “us,” or “our”).
By creating an account or using our Platform, you agree to these Terms. If you don’t agree, please don’t use Spirit Collective. These Terms apply to all users, including basic members, premium members, vendors, and instructors.
Our Philosophy: Spirit Collective believes in balance. We strive to create a platform that serves both individual users and our community as a whole. What helps and supports our users is what keeps them coming back, creating a thriving ecosystem where everyone can flourish. We’ll always aim to do what’s best for our users while maintaining a safe, trustworthy platform for all.
1. Who Can Use Spirit Collective
Age Requirements
- You must be at least 13 years old to use Spirit Collective
- Users aged 13-17 (“Minors”) may create accounts and make purchases
- Minors must have parental consent to become vendors or instructors
- By using our Platform, you represent that you meet these requirements
Account Registration
- You must provide accurate, current information
- You’re responsible for maintaining your account security
- One person or entity should maintain one account
- You must notify us of any unauthorized use
Account Types
- Basic Members: Free access to social features, marketplace browsing, and course enrollment
- Premium Members: Additional features including vendor/instructor capabilities
- Vendors: Users selling products or services
- Instructors: Users offering educational content
2. Content Ownership and Rights
Your Content
You retain ownership of content you create and upload (“Your Content”). However, by posting on Spirit Collective, you grant us:
- A worldwide, non-exclusive, royalty-free license to use, display, and distribute Your Content on the Platform
- The right to feature vendor stores, products, and courses on our homepage or in promotional materials
- The right to modify Your Content for technical purposes (like resizing images)
This license ends when you delete Your Content, except:
- Content others have shared remains licensed
- Deleted content may persist in backups for a reasonable time
- Course content purchased by students remains accessible to them
Spirit Collective’s Content
All Platform content not created by users (including our logo, design, and features) belongs to Spirit Collective. You may not use it without our permission.
Feedback
Any suggestions or feedback you provide becomes our property, and we can use it without compensation to you.
3. Prohibited Content and Conduct
You agree not to post, upload, or transmit content that:
Is Illegal or Harmful
- Violates any laws or regulations
- Infringes intellectual property rights
- Contains malware or harmful code
- Facilitates illegal activities
Is Inappropriate
- Contains pornography or sexually explicit material (artistic nudity may be acceptable)
- Depicts graphic violence or gore
- Promotes hate speech, discrimination, or harassment
- Bullies, intimidates, or threatens others
- Is fraudulent, deceptive, or misleading
Violates Platform Integrity
- Spam or repetitive content
- Pyramid schemes, MLM schemes, or get-rich-quick schemes
- Primarily promotes competing platforms
- Impersonates others or misrepresents affiliations
- Manipulates reviews or ratings
Other Prohibited Actions
- Creating accounts after being banned
- Using automated systems or bots without permission
- Scraping or harvesting Platform data
- Attempting to access others’ accounts
- Circumventing security measures
- Interfering with Platform operations
4. Marketplace Terms
For All Users
- All transactions are between buyers and sellers
- Spirit Collective is a venue, not a party to transactions
- We don’t guarantee product quality or seller reliability
- Users must comply with all applicable tax laws
For Vendors
- You must accurately describe products and services
- You must fulfill orders promptly and professionally
- You set your own prices and refund policies
- You must clearly display your refund/return policy
- You’re responsible for customer service
- You may sell the same products elsewhere
Fees and Payments
- Current fee: 5% + $0.25 per transaction
- Fees may change with 30 days’ notice
- Payments are processed by third-party providers
- Vendors are responsible for chargebacks and disputes
- Spirit Collective isn’t responsible for payment processing issues
Prohibited Sales
- Illegal items or services
- Weapons, ammunition, or explosives
- Drugs, controlled substances, or drug paraphernalia
- Tobacco products, e-cigarettes, or vaping products
- CBD, hemp, or cannabis-related products
- Firearms, firearm parts, or accessories
- Stolen goods or items promoting illegal activity
- Items violating intellectual property rights
- Human parts or remains
- Hazardous materials
- Items subject to recalls
5. Educational Content Terms
For Instructors
- You retain ownership of course content
- You grant students perpetual access to purchased courses
- You must deliver content as described
- You’re responsible for content accuracy and quality
For Students
- Course access is for personal use only
- You may not share, resell, or redistribute course content
- Refunds are subject to instructor policies
6. Community Guidelines
Interactions
- Treat others with respect
- No harassment, bullying, or hate speech
- Respect others’ privacy
- Report violations to us
Privacy
- Private messages are private
- We don’t monitor private communications except when legally required
- Don’t share others’ personal information without consent
7. Enforcement
Warning System
For most violations, we use a three-strike system:
- First violation: Warning
- Second violation: Temporary suspension
- Third violation: Permanent ban
Immediate Termination
We may immediately terminate accounts for:
- Illegal activities
- Severe harassment or threats
- Attempting to hack or damage the Platform
- Creating accounts after being banned
Effect of Termination
- Access to the Platform ends immediately
- Vendor listings will be archived for 30 days (vendors may request export during this period)
- After 30 days, all vendor content may be permanently deleted
- Purchased courses remain accessible to buyers
- No refund of membership fees
8. Disclaimers and Limitations
Platform Provided “As Is”
- We don’t guarantee uninterrupted or error-free service
- Features may change or be discontinued
- We’re not responsible for user content or actions
No Warranties
THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPIRIT COLLECTIVE’S TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS. WE’RE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
Disputes Between Users
- We’re not responsible for disputes between users
- We may provide tools but aren’t obligated to mediate
- You release us from claims related to user disputes
9. Indemnification
You agree to defend, indemnify, and hold harmless Spirit Collective, its officers, directors, employees, and agents from any claims, damages, or expenses (including attorney’s fees) arising from:
- Your use of the Platform
- Your Content
- Your violation of these Terms
- Your violation of others’ rights
10. Dispute Resolution
Informal Resolution
Before filing any legal action, you agree to try to resolve disputes informally by contacting us at team@thespiritcollective.net.
Arbitration
If we can’t resolve disputes informally, you agree to binding arbitration under the American Arbitration Association rules. Arbitration will occur in North Carolina.
Class Action Waiver
You may only resolve disputes with us individually. You waive any right to class actions or representative proceedings.
Exceptions
You may file claims in small claims court. Either party may seek injunctions for intellectual property violations.
11. General Terms
Governing Law
These Terms are governed by North Carolina law, without regard to conflict of law principles.
Changes to Terms
- We may update these Terms anytime
- Material changes require 30 days’ notice
- Continued use after changes means acceptance
- Changes apply to all users universally
Entire Agreement
These Terms, plus our Privacy Policy and other policies, constitute the entire agreement between us.
Severability
If any provision is invalid, the rest remains in effect.
No Waiver
Our failure to enforce any right isn’t a waiver of that right.
Assignment
You can’t transfer your rights under these Terms. We may assign our rights to any successor.
